1) Service Overview
C3 Dental Marketing provides digital marketing assets and visibility placements, including (as applicable to your plan):
(a) animated “billboard” style videos/embeds, (b) a shareable placement link to your assigned slot within a state network,
(c) optional enhancements such as a mini interactive homepage (Pro), and (d) optional premium featured placement upgrades.
The Services are designed as a digital visibility network that practices can share and embed as an additional channel.
The Services are not a patient‑referral guarantee, lead guarantee, or medical outcomes service.
2) Eligibility & Accounts
- You must be able to form a binding contract to use the Services.
- You are responsible for ensuring your use complies with applicable laws, regulations, and professional guidelines.
- If you provide account, billing, or contact details, you agree they are accurate and you will keep them updated.
3) Listings, Placements & Inventory
A. Standard (Secondary) Placement
- Assignment: Standard placements may be assigned automatically based on availability.
- Active service: Your placement remains visible while your subscription is active and in good standing.
- Release: If billing lapses beyond any stated grace period, the placement may be paused and/or released.
B. Premium “Page 1 Featured” Placement
- Limited inventory: Featured placements are limited and may sell out (example: one spot per location on a page).
- Reservation window: Featured placements may be temporarily reserved during setup, subject to activation and payment rules shown on the relevant page.
- Non‑guarantee: Featured placement improves visibility and position; it does not guarantee traffic, leads, or patients.
C. Slot Links & Embeds
- We may provide a direct link to your slot location and/or embed code to display your billboard on your website or other approved channels.
- You are responsible for where you embed and share your content, and for obtaining any required approvals.
4) Subscriptions, Billing & Payments
- Recurring billing: Subscriptions renew automatically at the stated interval unless cancelled.
- Taxes: Prices may be subject to applicable taxes based on your location and applicable law.
- Payment failures: If payment fails, we may retry billing and/or pause services after a grace period.
- Price changes: We may update pricing with reasonable notice; changes apply at your next renewal unless stated otherwise.
If you cancel, service generally remains active until the end of the current paid period unless otherwise stated.
5) Setup, Production & Go‑Live
- Work order: Production begins after we receive a completed work order and required assets (logo, contact info, URLs, offers, etc.).
- Timeline: Typical go‑live is 24–72 hours after a completed work order, subject to workload, revisions, and asset completeness.
- Revisions: Plan tiers may include a defined number of revisions; additional revisions may be billed.
- Changes: You are responsible for promptly notifying us of any changes to addresses, phone numbers, offers, or compliance requirements.
6) Refunds, Cancellations & Chargebacks
A. Setup Fees
- Setup fees may be refundable only if cancellation is requested before production begins.
- Once production begins (e.g., design/programming work starts), setup fees become non‑refundable due to custom production and inventory processing.
B. Subscription Fees
- Subscription fees are generally non‑refundable for time already served.
- Cancellation stops future renewals; service typically remains active through the current billing period.
C. Chargebacks & Disputes
- If you dispute a charge without contacting us first, we may pause services while the dispute is investigated.
- Unresolved chargebacks may result in account suspension and/or collections as permitted by law.
7) Content Rules & Client Responsibilities
You are responsible for all content you submit or request us to publish, including claims, offers, and compliance with:
(a) advertising laws, (b) dental board and professional guidelines, (c) patient privacy laws (e.g., HIPAA where applicable), and
(d) platform rules for any third‑party services you use.
Prohibited Content
- False, misleading, or unsubstantiated claims (including “guaranteed results”).
- Content that violates patient privacy or uses patient images/testimonials without required consent.
- Harassing, hateful, discriminatory, or unlawful content.
- Infringing content (logos, images, music, video) you do not have rights to use.
We may request edits, pause, or remove content we believe is misleading, non‑compliant, or harmful, without liability.
8) Intellectual Property
- Our materials: The website, layouts, templates, code, and branding are owned by C3 Dental Marketing and/or its licensors.
- Your materials: You retain ownership of your trademarks and content you provide. You grant us a non‑exclusive license to use them to provide the Services.
- Embeds: If we provide embed code, you may use it for your practice on your owned/controlled properties. Resale or redistribution is not allowed without written permission.
9) Third‑Party Services & Links
The Services may link to or embed third‑party services (e.g., YouTube, social platforms, maps, payment processors, analytics).
We do not control third‑party services and are not responsible for their availability, content, or policies.
Your use of third‑party services is governed by the third party’s terms and privacy policies.
10) Disclaimers
- No guarantee: We do not guarantee rankings, traffic, leads, patients, revenue, or business outcomes.
- “As is”: Services are provided “as is” and “as available.”
- Downtime: We may perform maintenance or experience outages; we are not liable for temporary unavailability.
- Compliance: You are solely responsible for professional compliance and the accuracy of your business information.
11) Limitation of Liability
To the maximum extent permitted by law, C3 Dental Marketing and its owners, employees, and partners will not be liable for
indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost data, or business interruption.
To the extent liability is not legally excludable, our total liability for any claim related to the Services will not exceed
the amount you paid to us for the Services in the three (3) months preceding the event giving rise to the claim.
12) Indemnification
You agree to indemnify and hold harmless C3 Dental Marketing from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees)
arising out of your content, your misuse of the Services, your violation of law or professional guidelines, or your infringement of third‑party rights.
13) Dispute Resolution
Before filing a formal claim, you agree to contact us at info@c3dentalmarketing.com
and attempt to resolve the issue informally.
If a dispute cannot be resolved informally, the parties may pursue resolution in a court of competent jurisdiction,
unless a separate signed agreement between you and C3 Dental Marketing specifies arbitration or another method.
14) Governing Law
These Terms are governed by the laws of the State of Nevada, without regard to conflict of law rules, unless otherwise required by applicable law.
15) Changes to These Terms
We may update these Terms from time to time. Changes are effective when posted on this page with an updated “Last updated” date.
Your continued use of the Services after changes become effective constitutes acceptance.
